The Satyam scandal: What happened in 2009 and what India learnt

January 7, 2009. Hyderabad-based Satyam Computer Services Chairman B. Ramalingaraju sent a letter to the company's board and stock exchanges. His confession shook the country's corporate world. He admitted that the company had artificially inflated profits and cash reserves in its accounts for years. The international media dubbed it "India's Enron".

The growth of truth

Ramalinga Raju founded Satyam in Hyderabad in 1987. It grew rapidly during the IT boom of the 1990s and became the fourth largest IT company in the country after TCS, Infosys and Wipro. Its clients include leading companies in the world. It was also listed on the US Stock Exchange. It was a company that provided jobs to thousands of Telugu youth. Ramalinga Raju was respected as a face of the Hyderabad IT sector.

The Mets Agreement — First Warning

In December 2008, Satyam's board decided to buy the Raju family's Mettas Infra and Mettas Properties companies for a huge sum. Investors strongly objected to the IT company buying real estate companies — which belonged to the chairman's family. The share price crashed. The deal was called off within 12 hours. It was later revealed that the deal was an attempt to offset the fake cash shown in the accounts.

What's in the letter?

Raju admitted that the company's balance sheet showed thousands of crores of rupees in cash and bank balances that were not there in reality. What started as a small discrepancy grew larger over the years, he wrote in his letter, "It's like riding a tiger — it will eat you whenever you get off." The phrase later became famous.

What happened next?

• The king, his brother, and other high officials were arrested.

• The central government has dissolved the Satyam board and appointed a new board with luminaries like Deepak Parekh and Kiran Karnik. It is rare for the government to interfere in a private company like this — the aim is to save thousands of jobs and the country's IT reputation.

• In April 2009, Tech Mahindra acquired Satyam in a public auction. The name was changed to "Mahindra Satyam". It was merged with Tech Mahindra in 2013. Many employees lost their jobs.

• In 2015, a special court in Hyderabad convicted and sentenced the accused, including Raju. Later, legal proceedings such as appeals and bail continued. SEBI also took special action.

• Indian and American regulatory agencies have also taken action against the audit firm.

Lessons learned by the country

Indian corporate governance norms have changed significantly after the Satyam scandal:

• Companies Act, 2013: Strict provisions like responsibilities of independent directors, mandatory rotation of auditors, and reporting of frauds.

• Legal powers of the Serious Fraud Investigation Office (SFIO).

• Audit committees: Methods such as verifying bank balances directly from banks.

• Disclosure of details of pledge of promoters' shares is mandatory.

Lesson for investors

Many people overlook warning signs like low interest income and low dividend payouts, even if a company has huge cash reserves. Even numbers that seem "all good" should be questioned.

Conclusion

The story of Satyam is a dark chapter in the history of Hyderabad's IT. However, the way the government and industry worked together to overcome that crisis, and the reforms that followed, strengthened the Indian corporate sector. This story shows that no matter how big the success is without honesty, it will always collapse.
